These Terms of Service ("Terms") are a binding legal agreement between you and Godwin Mayaki ("Consultant") governing your use of the godwinmayaki.org website and services ("Services"). By using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

Services & Changes

The Services include consulting and advisory services related to user acquisition, market research, product marketing, content marketing, launch strategy and website design, for technology companies and startups. Services may also include the sale of digital products like guides, courses, and other materials ("Purchased Materials").

Consultant may modify, add, or discontinue any aspect of the Services at any time without notice. Consultant will make reasonable efforts to notify you of material changes.

Account & Access

To access certain Services, you may need to register and create an account. You are responsible for maintaining your account credentials confidential and secure. You agree to provide accurate registration information and update it as needed.

Quotes & Fees

For consulting engagements, you will receive a quote with estimated fees and a service agreement outlining the scope, timeline, and terms. You agree to pay all fees specified in the governing service agreement. For Purchased Materials, fees will be stated on the relevant product pages.

Consultant may adjust pricing for Services and Purchased Materials at any time upon reasonable notice. All fees are in United States Dollars and do not include taxes or duties, which are your responsibility.

Intellectual Property

All intellectual property rights related to the Services and Purchased Materials remain the property of Consultant. You are granted a limited, non-transferrable license to use Purchased Materials for your internal business purposes only. Modification or redistribution of materials is prohibited without written consent.

User Content

For any content, materials, data or information you upload, submit or provide related to using the Services ("User Content"), you grant Consultant a worldwide, royalty-free right and license to use, reproduce and modify the User Content as needed solely to provide the Services.

Confidentiality

Both parties agree to keep all confidential information of the other strictly confidential and use it only as needed to fulfill obligations under these Terms. Confidential information includes non-public business, products, technology and services information.

Client Responsibilities

You agree to cooperate with Consultant, provide accurate and complete information, secure required permissions, and grant system access needed for delivery of Services. You remain responsible for results obtained from using the Services and Purchased Materials.

Disclaimers

The Services and Purchased Materials are provided "as is" without warranties of any kind. Consultant disclaims all warranties, representations and conditions, express or implied. Consultant does not warrant that Services will be uninterrupted, timely or error-free.

Limitation of Liability

To the maximum extent permitted by law, in no event shall Consultant be liable to you or any third party for any lost profits, data or business opportunity, or any indirect, special, consequential, exemplary or punitive damages arising out of or related to these Terms or use of Services, even if advised of the possibility of such damages.

Consultant's total cumulative liability for direct damages under these Terms shall be limited to the amount you actually paid Consultant for the Services giving rise to the claim during the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend and hold Consultant harmless against any claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms or your use of the Services.

Term & Termination

These Terms commence upon your first use of the Services and continue until terminated. Either party may terminate for convenience with 30 days' written notice. Consultant may suspend or terminate Services immediately for your material breach or unauthorized use of the Services.

Upon termination, you must cease using and delete all Consultant materials in your possession. Termination of these Terms shall not relieve you of any payment obligations accrued prior to termination.

Governing Law & Dispute Resolution

These Terms are governed by the laws of Nigeria without regard to its conflicts of laws provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration per the rules of the Arbitration and Mediation Center of the Lagos Chamber of Commerce. The arbitration shall be held in Lagos, Nigeria.

Miscellaneous

These Terms represent the complete agreement between the parties and supersede any prior agreements. If any provision is unenforceable, it shall be reformed only to the extent necessary and the remaining Terms shall remain in full force. No waiver of rights by Consultant shall constitute further waiver. You may not assign these Terms without Consultant's prior written consent. All notices shall be provided electronically.

Consultant may update these Terms at any time upon notice to you. Your continued use of Services constitutes acceptance of the updated Terms.

By using the Services, you represent that you are legally competent to agree to these Terms or have authorization from a competent authority. If you are using the Services on behalf of a business, you represent having authority to bind that business.
